Terms and Conditions of Modelur PRE-BETA Partner Program

PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS BEFORE REGISTERING FOR THE MODELUR PRE-BETA PARTNER PROGRAM. PARTICIPATION IN THE MODELUR PRE-BETA PARTNER PROGRAM INDICATES THAT YOU ACCEPT THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT REGISTER FOR MODELUR PRE-BETA PARTNER PROGRAM.

Introduction

By accepting these Terms and Conditions Agreement (the "Agreement"), You are requesting to participate in the Modelur PRE-BETA Partner Program (the "Program"). Based on this Agreement the company Urbs d.o.o. and its partners will enable you access to early test versions of parametric urban design tool Modelur (the "Software") and to otherwise restricted website area by means of communication with the development team. "Urbs" company means Urbs d.o.o., whose principal place of business is at Pri malem kamnu 11, 1210 Ljubljana, Slovenia, EU.

Purpose

The main purpose of the Program is to improve quality and functionality of the Software before the first version is released.

With the intention to provide best possible user experience, the Software is being constantly updated. End user is acquainted and agrees that the form and nature of services provided by Urbs d.o.o. may change from time to time without preceding notice.

Program Participation

Participation in the Program is subject to Urbs's prior approval and Your continued compliance with Program Policies. Urbs company reserves the right to refuse participation to any applicant or participant at any time in its sole discretion. Urbs company further reserves the right to modify the Program Policies and the FAQ from time to time.

Price

Participation in Program is free of charge.

Intellectual Property Rights

Nothing contained in the Program conveys any ownership right to Urbs company over the products made by the Software.

End-user license agreement

Urbs hereby grants to You  the following personal, worldwide, royalty-free, non-assignable, non-transferable, irrevocable and non-exclusive license to use the Application, which is provided as a part of Program. The rights of the Software end-user, which are subject to this license, are valid for all Pre-beta versions of Modelur exclusively.

Urbs company retains exclusively all and every copyright (property and moral rights) related to the Software and to the Program. You further acknowledge and agree that Urbs owns all other legal rights, titles and interests in and to the Application (whether those rights happen to be registered or not, and wherever in the world those rights may exist).

You may not (and may not permit anyone else to) copy, modify, create a derivative work of, reverse engineer, decompile, decrypt or otherwise attempt to extract the source code of the Application or any part thereof, unless this is expressly permitted or required by law, or unless you have been specifically told that you may do so by Urbs, in writing.

Unless Urbs company has given You specific prior written permission to do so, You may not assign (or grant a sub-license of) Your rights to use the Application, grant a security interest in or over Your rights to use the Software, or otherwise transfer any part of Your rights to use the Application.

Disclaimer of Warranty

There is no warranty for the Application, to the extent permitted by applicable law. Urbs company is not responsible for any kind of damage, which may derive from Program or use of Application, except in cases, when exclusion of responsibility is not permitted by law.

Automatic updates

The Software may communicate with modelur.com website from time to time to check for available updates to the Software, such as bug fixes, enhanced functions, new versions of Software or to check Software's validity (collectively, "Updates"). By installing the Software, you agree to automatically request and receive Updates.

Confidentiality

You agree not to disclose Urbs Confidential Information without Urbs's prior written consent. These include, without limitation:

1. all Urbs software, technology, programming, technical specifications, materials, guidelines and documentation (including the terms of this Agreement) relating to the Program;
2. any other information designated in writing by Urbs as "Confidential" or an equivalent designation. It does not include information that has become publicly known through no breach by You or Urbs, or information that has been:
   1. independently developed without access to Urbs Confidential Information, as evidenced in writing;
   2. rightfully received by You from a third party; or
   3. required to be disclosed by law or by a governmental authority.

Termination

You may terminate this Agreement with or without cause with thirty (30) days prior notice to Urbs company. Urbs company may at any time, in its sole discretion, terminate the Program, terminate this Agreement, or withdraw any Authorized Content in the Program.

If any term or condition from this Agreement is violated, the Program and all the rights that derive from it are automatically terminated.
